ProposalUp Affiliate Program — Terms

1. The program

ProposalUp ("we", "us") operates an affiliate program that pays approved partners ("Affiliates", "you") a commission for referring paying ProposalUp customers. Participation is voluntary and either party may terminate at any time.

2. Commission

• Rate: 30% of the net monthly subscription revenue paid by a referred customer.
• Duration: 12 months from the customer's first paid month.
• Attribution: Last-click, 90-day cookie. The referral code active at checkout wins.
• Minimum payout: £50. Balances below the threshold roll over.
• Payout cadence: Monthly, in arrears, on the 15th, via PayPal or Wise to the payout email on file.

3. Refunds and chargebacks

Commissions for a given month are only earned once the customer's subscription payment for that month has cleared and remained un-refunded and un-chargebacked for 30 days. Refunded or charged-back payments produce no commission (or a clawback if already paid).

4. Prohibited practices

• No incentivised sign-ups (cashback, rebates, giveaways for signing up).
• No paid search on ProposalUp brand terms, trademark variants, or typos.
• No coupon / discount code aggregators unless we explicitly authorise.
• No unsolicited email, SMS, or messaging spam. You must comply with PECR, GDPR, CAN-SPAM and all applicable law.
• No misleading claims about ProposalUp's features, results, pricing, or partnerships.
• No self-referrals — commissions on your own subscriptions or subscriptions of entities you control are void.
• No cookie-stuffing, iframe tricks, malware distribution, or any traffic source that violates a platform's terms.

5. Approval and termination

We review each application and may approve or reject at our discretion. We may suspend or terminate your account (and forfeit unpaid commissions) for material breach of these terms, fraud, or harm to ProposalUp's reputation.

6. Tax

You are responsible for reporting and paying all taxes on commissions you receive. Commissions are stated exclusive of VAT; if you are VAT-registered you may invoice us for VAT on approved commissions.

7. Data protection

We process your personal data as described in the ProposalUp Privacy Policy. You must not attempt to identify or contact end customers referred through your link outside of the marketing channels you promote.

8. Independent contractor

Nothing in these terms creates an employment, agency, partnership, or joint-venture relationship. You have no authority to bind ProposalUp.

9. Changes

We may update these terms with 30 days' notice by email or in your affiliate dashboard. Continued participation after the change takes effect constitutes acceptance.

10. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
